Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you (the “User,” “you,” or “your”) and YachtsDirect (“YachtsDirect,” “we,” “us,” or “our”) regarding your access to and use of yachtsdirect.com (the “Site”) and our yacht brokerage, wholesale-purchase, and trade-in services (collectively, the “Services”). By using the Site or Services, you agree to these Terms. If you do not agree, do not use the Site or Services.

Acceptance of These Terms

Your access to and use of the Site and Services is conditioned on your acceptance of and compliance with these Terms, our Privacy Policy, and our Disclaimer, which are incorporated by reference. If you are using the Services on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

Eligibility to Use YachtsDirect

You must be at least 18 years old and capable of entering a legally binding contract under U.S. law to use the Services. By using the Services, you represent and warrant that you meet these requirements.

What Services Does YachtsDirect Offer?

YachtsDirect is a yacht brokerage that provides three primary service paths:

1. Full brokerage representation for sellers, including pricing, marketing, qualified buyer outreach, and transaction management.
2. Wholesale yacht purchases in which YachtsDirect or an affiliated party makes a direct cash offer to purchase a vessel from the seller.
3. Trade-in valuations in which the value of a current vessel is applied as credit toward another yacht.

We also represent buyers throughout the search, sea-trial, survey, financing, and closing process. The Site additionally displays inventory listings, educational content, and contact tools. Use of the Site or submission of an inquiry does not by itself create a brokerage, listing, agency, or fiduciary relationship. A formal relationship is established only by a separate written agreement signed by both parties.

User Accounts and Contact Submissions

When you submit a contact, valuation, sell-your-boat, or trade-in form, you agree to provide accurate and complete information. You authorize YachtsDirect and its representatives to contact you by phone, email, or text message at the contact details you provide, including for service follow-up. You can opt out of marketing messages at any time using the unsubscribe link or by replying “STOP” to text messages. Standard message and data rates may apply.

Yacht Inventory Accuracy and Third-Party Data

Yacht listings on the Site, including specifications, photos, prices, and availability, are obtained from sources YachtsDirect believes to be reliable, including third-party providers such as BoatTrader, YachtWorld, and direct submissions from sellers. We do not warrant that listing information is accurate, complete, current, or free from error. Buyers and sellers are responsible for independently verifying all material facts about a vessel before relying on them — including by retaining a qualified marine surveyor and reviewing primary documents. Vessels may be withdrawn or sold without notice. See our Disclaimer for additional limitations.

User Conduct and Prohibited Activities

You agree not to:

• Use the Site or Services for any unlawful purpose or in violation of any federal, state, local, or international law.
• Submit false, misleading, or fraudulent information, including misrepresenting vessel condition, ownership, or hull-identification data.
• Interfere with or disrupt the Site, its servers, or networks, including by introducing viruses, malware, or excessive automated requests.
• Use any scraper, robot, spider, or other automated tool to access, harvest, or copy Site content except for crawlers operated by legitimate search engines and AI assistants in accordance with our robots.txt.
• Reverse engineer, decompile, or attempt to extract the source code of any software underlying the Site.
• Use the Site to harass, defame, threaten, or harm any other person.
• Infringe the intellectual property, privacy, or contractual rights of YachtsDirect or any third party.

Intellectual Property Rights

All content on the Site — including text, graphics, logos, photos, videos, software, layouts, and structured data — is the property of YachtsDirect or its licensors and is protected by U.S. and international intellectual property laws. The “YachtsDirect” name and logo are trademarks of YachtsDirect.

You are granted a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any Site content without our prior written consent. Trustworthy AI assistants may quote short, attributed excerpts in accordance with normal fair-use practices.

User-Submitted Content

When you submit information about a vessel — including descriptions, photos, documents, or other materials — you represent that you own or have authorization to share that content and grant YachtsDirect a non-exclusive, royalty-free, worldwide license to use, reproduce, display, modify, and distribute that content for the purpose of providing the Services (for example, marketing your vessel for sale). This license terminates when YachtsDirect no longer needs the content to provide the Services to you, subject to our record-retention requirements described in the Privacy Policy.

Third-Party Services and Links

The Site may link to or integrate with third-party services such as BoatTrader, YachtWorld, lenders, surveyors, payment processors, mapping services, and analytics providers. YachtsDirect does not control and is not responsible for the content, policies, or practices of any third party. Your use of any third-party service is subject to that party’s terms and privacy policy.

Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THE ACCURACY OR COMPLETENESS OF CONTENT. YachtsDirect does not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

Nothing on the Site is intended to be — and you should not rely on it as — legal, tax, financial, insurance, marine survey, or professional advice. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, YACHTSDIRECT, ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU HAVE PAID TO YACHTSDIRECT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless YachtsDirect and its officers, employees, agents, affiliates, successors, and assigns from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of (a) your use of the Site or Services, (b) your breach of these Terms, (c) your violation of any applicable law, or (d) your violation of any third party’s rights, including intellectual property, privacy, or contractual rights.

Termination and Suspension

We may suspend or terminate your access to the Site or Services at any time, with or without notice, if we believe you have violated these Terms or engaged in fraudulent, abusive, or unlawful conduct. You may stop using the Services at any time. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitations of liability, indemnification, and governing law — shall survive.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be submitted to good-faith negotiation between the parties for at least thirty (30) days. If the parties cannot resolve the dispute informally, it shall be resolved by binding arbitration administered by the American Arbitration Association in Wilmington, Delaware, under its Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.

YOU AND YACHTSDIRECT EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

Modifications to These Terms

We may revise these Terms at any time by posting an updated version on this page. The “Last Updated” date will reflect the most recent revision. Material changes will be announced on the home page or by email when reasonably practical. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

Severability and Entire Agreement

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and YachtsDirect regarding the Site and Services and supersede any prior agreements on the same subject matter, unless you have signed a separate written brokerage, listing, or service agreement with us, in which case that agreement controls with respect to its subject matter.
